Standard Terms and Conditions
By placing an order with us, the customer acknowledges that they have read, understood, and agreed to these Terms and Conditions. Acceptance of any quotation, invoice, order confirmation, delivery of goods or payment shall constitute acceptance of these Terms and Conditions.
1. Payment Terms
Payment is due within 30 days of the statement date, unless otherwise agreed to in writing. Payments must be made via electronic bank transfer to the account specified on the invoice. Proof of payment may be requested before goods are released.
2. Late Payments
Overdue accounts will incur interest at a rate of 5% per month on the outstanding balance. Should payment remain outstanding for more than 60 days, the seller reserves the right to suspend further supply, services, or support until the account has been settled. Any legal, collection, or recovery costs incurred in recovering outstanding amounts will be for the customer's account.
3. Ownership and Risk
Ownership of all goods remains vested in the seller until full payment has been received. Risk of loss, theft, or damage passes to the customer upon delivery or collection of the goods.
4. Delivery
Delivery dates are estimates only and are not guaranteed. The seller shall not be liable for delays caused by suppliers, couriers, customs authorities, weather conditions, or circumstances beyond the seller's reasonable control. The customer shall ensure that a suitable person is available to accept delivery at the designated delivery address.
5. Inspection of Goods
Customers must inspect goods upon receipt. Any shortages, damages, defects, or discrepancies must be reported in writing within 48 hours of delivery. Failure to notify the seller within this period may result in the claim being rejected.
6. Returns and Refunds
Due to the nature of the products and the cold-chain storage requirements and handling standards of certain products, returns are generally not accepted. Returns will only be considered in respect of defective or incorrectly supplied items and must be reported within 48 hours of receipt. Any approved return must be authorised by management prior to shipment. Responsibility for return shipping costs will be determined by the cause of the defect and remains at the discretion of management.
7. Warranties and Liability
The applicable warranty period for each product will be specified on the quotation or invoice. Customers are encouraged to confirm warranty terms prior to purchase if unsure. The seller's liability is limited to the value of the goods or services supplied. Under no circumstances shall the seller be liable for any indirect, incidental, consequential, or special damages, including loss of profit, revenue, business opportunity, or loss arising from third-party claims.
8. Pricing and Quotations
All quotations are valid for the period specified on the quotation unless otherwise stated. The seller reserves the right to correct any pricing, calculation, typographical, or administrative errors appearing on quotations, invoices, or website listings. Prices are subject to change without notice until an order has been accepted by the seller.
9. Force Majeure
The seller shall not be liable for any failure or delay in the performance of its obligations resulting from events beyond its reasonable control. Such events include, but are not limited to, natural disasters, fire, flood, pandemic, labour disputes, transport disruptions, power outages, government actions, or supplier shortages.
10. Dispute Resolution
Any dispute arising from these Terms and Conditions shall first be referred for resolution through negotiation and mediation between the parties. If the dispute cannot be resolved amicably, it shall be subject to the jurisdiction of the competent courts of Johannesburg, South Africa.
11. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
12. General Terms
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, understandings, and communications. No amendment or variation to these Terms and Conditions shall be valid unless reduced to writing and signed by both parties. The customer agrees to comply with all applicable laws, regulations, and industry standards. The seller reserves the right to amend these Terms and Conditions at any time, provided that such amendments will not affect orders already accepted.
